Luxshare ICT Adds 4.66 Million A Shares in September; RMB 119.42 Million Raised from Option Exercises

Luxshare ICT (Luxshare Precision Industry Co., Ltd.) filed its monthly return for the period ended 30 September 2026, disclosing modest equity expansion driven by employee share option conversions and convertible-bond redemptions. Key details are as follows:

• Authorised share capital: Ordinary A shares rose by 4.66 million to 7.35 billion, lifting total authorised/registered capital to RMB 7.74 billion. The authorised pool of 396.01 million H shares remained unchanged.

• Issued share capital: Outstanding A shares (excluding treasury stock) increased by 4.66 million to 7.33 billion, while H-share issuance held steady at 396.01 million. Treasury stock stayed at 17.67 million A shares; no treasury H shares were recorded.

• Share option activity: Exercises under the 2021, 2022 and 2025 incentive plans generated 4.63 million new A shares and raised RMB 119.42 million in cash. The 2025 plan accounted for 81% of the month’s option-driven issuance.

• Convertible bonds: Holders converted RMB 1.29 million in principal value of Luxshare’s RMB 3.00 billion listed convertible bonds, adding 23,131 new A shares at a conversion price of RMB 55.67 per share. The outstanding bond balance stands at RMB 2.98 billion, with a further 53.54 million A shares still issuable upon full conversion.

• Public float: Management confirmed compliance with the Hong Kong Exchange’s 5% minimum public-float requirement for the company’s H shares. No share buy-backs or treasury share transfers occurred during the month.

As of 30 September 2026, Luxshare ICT’s total issued share count (A + H, excluding treasury) reached 7.72 billion, reflecting disciplined capital expansion primarily through staff incentive schemes and measured bond conversions.
