According to the latest Form 4 filing, Robinhood Markets, Inc. (HOOD) Chief Executive Officer and Director Vladimir Tenev executed a significant share sale on October 5, 2026 under a Rule 10b5-1 trading plan adopted on September 5, 2025. He sold 375,000 shares of Class B Common Stock, which automatically converted into Class A Common Stock upon execution of the sale. In Table I, this is reflected first as an acquisition of 375,000 shares of Class A (code C/A), followed by three sale transactions of Class A Common Stock of 158,911 shares, 193,897 shares and 22,192 shares, respectively, totaling 375,000 shares disposed, at weighted-average prices between approximately $112.62 and $115.48. After these transactions, his directly held Class A Common Stock balance fell to zero, though he continues to hold 6,907 shares indirectly via a living trust and substantial derivative (Class B) interests. While large insider sales by a CEO can be interpreted as a bearish signal, the use of a pre-arranged 10b5-1 plan may mitigate negative sentiment.
