Hygeia Health Repurchases 202,200 Shares; Free-Float Falls to 603.82 Million

Hygeia Healthcare Holdings Co., Limited (Hygeia Health) reported a buyback of 202,200 ordinary shares on 11 September 2026 through on-market transactions on the Hong Kong Stock Exchange.

• Transaction details – Volume: 202,200 shares, representing 0.0335% of the 604.03 million shares in issue (excluding treasury) prior to the repurchase. – Price range: HK$9.82–HK$9.95 per share; volume-weighted average price: HK$9.8885. – Aggregate consideration: HK$1.999 million.

• Capital structure post-transaction (11 September 2026) – Issued shares outstanding (excluding treasury): 603.82 million. – Treasury shares: 14.68 million. – Total issued shares (including treasury): 618.50 million.

• Repurchase mandate utilisation – Authority granted on 26 June 2026 permits up to 60.77 million shares to be bought back. – Cumulative repurchases under the mandate now total 3.92 million shares, equivalent to 0.64% of the company’s issued share base on the mandate date.

• Settlement and restrictions – All 202,200 shares acquired on 11 September will be held as treasury shares; no cancellations have been executed to date. – In line with Hong Kong listing rules, Hygeia Health is restricted from issuing new shares or disposing of treasury shares until 11 October 2026.

The board confirms that the repurchase complied with all applicable regulatory requirements and that all consideration has been duly settled.
