DT Capital seeks fresh 20 % issuance mandate and 10 % buy-back limit ahead of 29 May AGM

DT Capital Limited has dispatched its 2026 AGM circular, setting out three key proposals for shareholder approval on 29 May 2026.

1. Capital mandates • General mandate: Directors request authority to allot, issue or transfer up to 547.06 million new shares, equal to 20 % of the current 2.74 billion issued shares. • Repurchase mandate: Authority to buy back up to 273.53 million shares, or 10 % of the share base. • Extension: The issuance limit can be enlarged by the number of shares actually repurchased under the buy-back mandate. The company holds no treasury shares at present.

2. Board rotation • Executive directors Mr Leong Chi Wai and Mr Su Chunxiang, and newly appointed independent non-executive director Mr Chan Chun Kong will stand for re-election.

3. Meeting logistics • AGM: 11:00 a.m., 29 May 2026, 22/F United Centre, 95 Queensway Road, Hong Kong. • Register closure: 26 – 29 May 2026; record date 29 May 2026. Proxy forms must reach Tricor Investor Services by 11:00 a.m. on 27 May 2026.

4. Shareholder structure and price record Major holders include P.B. Global Asset Management (18.44 %) and Vibrant Noble (13.89 %). Monthly trading highs and lows over the past year ranged between HK$0.101 and HK$0.050.

If all mandates are approved, authorisations will remain valid until the next AGM, an earlier shareholder resolution, or the statutory deadline for holding the 2027 meeting, whichever comes first.
