China Ecotourism Secures High Court Validation Order, Safeguarding Share Transfers During Winding-Up Proceedings

China Ecotourism Group Limited announced that the Hong Kong High Court granted a validation order on 15 May 2026 in connection with an ongoing winding-up petition first presented on 11 March 2025.

The order confirms that, despite the petition, all transfers of the company’s issued and fully paid-up shares executed since the petition date remain valid and will not be void under section 182 of the Companies (Winding Up and Miscellaneous Provisions) Ordinance.

Management stated that further material developments will be disclosed in accordance with Hong Kong Listing Rules. Shareholders and prospective investors are advised to exercise caution when dealing in the company’s shares.

The board currently comprises two executive directors—Ms. Zhu Xinxin (also Chief Executive Officer) and Mr. Di Ling—and three independent non-executive directors: Dr. Meng Zhijun, Mr. Duan Xinxiao and Mr. Lau Fai Lawrence.
