Imperium Technology Shareholders Unanimously Approve All AGM Resolutions

Imperium Technology Group Limited reported that shareholders endorsed every motion at the Annual General Meeting held on 18 September 2026. All six directors were present either in person or via electronic means, and Hong Kong-based Tricor Investor Services Limited served as the independent scrutineer.

The poll delivered near-unanimous support for each of the seven ordinary resolutions:

• Adoption of the FY2026 audited financial statements and directors’ and auditors’ reports received 109.35 million votes in favour (99.99%), with only 1,000 votes against.

• Re-election of directors Mr. Lin Junwei, Mr. Yeung Tong Seng Terry and Mr. Hui Ka Lung was backed by at least 99.99% of votes cast.

• Authorisation for the board to set directors’ remuneration and to re-appoint and remunerate auditors both secured 100% approval, each with 109.35 million supporting votes.

• General mandates enabling the board to issue new shares, repurchase shares, and extend the issue mandate by the amount of repurchased shares all passed with 99.99% or higher support.

A total of 109.35 million shares were voted—representing approximately 16.28% of the company’s 671.84 million issued shares. No shareholders were required to abstain, and none signalled opposition in advance of the meeting.

The successful passage of all resolutions grants the board flexibility over capital management and confirms the continued mandate of current directors and auditors.
