Hygeia Healthcare Ramps Up Share Buy-Backs with HKD 1.55 Million Repurchase on 8 September

Hygeia Healthcare Holdings Co., Limited disclosed a fresh on-market share repurchase of 151,000 ordinary shares on 8 September 2026. The transaction, executed on the Hong Kong Stock Exchange, was completed at prices ranging between HKD 10.28 and HKD 10.30 per share, implying a volume-weighted average repurchase cost of HKD 10.2971. The aggregate cash outlay totaled HKD 1.55 million.

Post-transaction, Hygeia Healthcare’s outstanding share count (excluding treasury shares) declined marginally by 0.025% to 604.61 million. Concurrently, treasury share holdings rose to 13.89 million, while the company’s total issued share capital remained unchanged at 618.50 million shares. All 151,000 repurchased shares have been retained as treasury stock; none have yet been cancelled.

The buy-back forms part of a broader mandate approved on 26 June 2026, authorising repurchases of up to 60.77 million shares. Cumulative purchases under this authority now stand at 3.13 million shares, equivalent to 0.51% of the company’s issued share base as of the mandate date.

In accordance with Hong Kong listing regulations, the latest repurchase triggers a 30-day moratorium—effective until 8 October 2026—during which Hygeia Healthcare is restricted from issuing new shares or disposing of treasury shares without prior approval from the Exchange.

The board confirms that all repurchase activities have complied with the Hong Kong Stock Exchange’s Main Board Rules, relevant laws, and the conditions set out in the company’s explanatory statement dated 28 May 2026.
