China Ecotourism Group Limited announced the appointment of Mr. Chan Ka Wang Chris as Chairman of the Board and Executive Director, effective 27 July 2026.

Mr. Chan, aged 49, graduated from York University, Canada, in 1999. He brings over two decades of corporate management and business experience spanning trading, import-export, distribution and retail of reptiles and related products. His investment background covers multiple asset classes, including industrial and commercial real estate in Hong Kong, property holdings in Indonesia and Canada, equity stakes, debt and distressed assets, and foreign exchange.

Key terms of Mr. Chan’s engagement: • Initial service contract: three-year term commencing 27 July 2026, with no specified overall term. • Director’s fee: HK$0.12 million per annum, determined by the Remuneration Committee with reference to responsibilities, performance, the Company’s operations and prevailing market conditions. • Governance: Mr. Chan is not subject to retirement by rotation and re-election at the forthcoming annual general meeting, in line with the Company’s bye-laws.

Disclosure statements confirm that Mr. Chan: 1) Holds no other positions within China Ecotourism Group or its subsidiaries. 2) Has not served as a director of any other listed public company during the past three years. 3) Has no relationships with existing directors, senior management, or substantial/controlling shareholders. 4) Holds no interests in the Company’s shares under Part XV of Hong Kong’s Securities and Futures Ordinance.

Following this appointment, the Board comprises: • Executive Directors – Mr. Chan Ka Wang Chris, Ms. Zhu Xinxin (also Chief Executive Officer), and Mr. Di Ling. • Independent Non-executive Directors – Dr. Meng Zhijun, Mr. Lau Fai Lawrence and Mr. Chiang Chi Kin Stephen.
