Tian Chang Group Clinches RMB280.00 Million Eight-Year Term Loan from Bank of China to Fund Magnesium Thixomolding Plant

Tian Chang Group Holdings Ltd. (“Tian Chang Group”) has signed a term loan facility agreement with Bank of China Limited, Huizhou Branch, securing up to RMB280.00 million in long-term financing.

The facility, executed on 30 September 2026, carries a floating interest rate and a tenor of eight years. Proceeds will finance construction and equipment purchases for a new advanced-materials and semi-solid magnesium alloy injection-moulding (“Magnesium Thixomolding”) plant in Huizhou, Guangdong Province.

Collateral and Guarantees • Corporate guarantee: Huizhou Tian Chang Industrial Company Limited, an indirect wholly owned subsidiary, has provided a maximum guarantee matching the loan principal of RMB280.00 million. • Asset mortgage: Tian Hao New Materials Technology (Hui Zhou) Limited has pledged land-use rights over parcel #JD134-13-02 in Huizhou (gross floor area: 53,731 sq.m.) up to the same RMB280.00 million limit.

Strategic Rationale The board states that the financing offers competitive funding costs and aligns with the group’s strategy to expand into lightweight metal components by enhancing magnesium thixomolding capabilities. The terms are considered commercial, fair and in the interests of shareholders given the group’s liquidity position and prevailing market rates.

Regulatory Context As the guarantees are provided by wholly owned subsidiaries, the transaction does not constitute a notifiable or connected transaction under Chapters 14 and 14A of Hong Kong Listing Rules. No share pledges or controlling-shareholder performance covenants are involved. The lender is an independent third party.
