Zhou Hei Ya Buys Back 151,500 Shares on 5 Oct 2026; Cumulative Repurchases Reach 12.99 Million Under Current Mandate

On 5 October 2026, Zhou Hei Ya International Holdings Company Limited filed a Next Day Disclosure Return with the Hong Kong Stock Exchange detailing its latest on-market share repurchase and updating cumulative buy-back data under the existing mandate approved on 10 June 2026.

The company repurchased 151,500 ordinary shares on 5 October 2026 at prices between HK$1.04 and HK$1.06 per share, spending a total of HK$0.16 million. All shares bought are designated for cancellation; consequently, the number of issued shares outstanding remains unchanged at 2.08 billion, as the cancellation process had not been completed by the reporting date.

Since the mandate became effective, Zhou Hei Ya has acquired 12.99 million shares on the Exchange, equivalent to 0.62 % of the 2.11 billion shares in issue when the mandate was granted. The current mandate permits repurchases of up to 211.29 million shares, indicating that approximately 6.2 % of the authorised limit has been utilised.

Repurchase prices during the mandate period have ranged from HK$1.05 to HK$1.48 per share, reflecting management’s ongoing use of share buy-backs as a capital-management tool. No treasury shares are held, and the group remains subject to a moratorium on new share issues or transfers of treasury shares until 4 November 2026, in accordance with Main Board Rule 10.06(3)(a).

All disclosures were confirmed by Chairman, Executive Director and Chief Executive Officer Mr. Zhou Fuyu, who certified compliance with Hong Kong listing regulations.
