China Ecotourism Group Limited (CHINA ECOTOUR; stock code 01371) announced a series of board and committee changes effective 1 July 2026.
Independent non-executive director (INED) Duan Xinxiao has resigned due to personal and business commitments. His departure also ends his roles on the Audit, Nomination and Remuneration Committees.
Stephen Chiang Chi Kin, 56, has been appointed as an INED and joins the Audit Committee. A solicitor admitted to the High Court of Hong Kong in 1998, Chiang brings more than 27 years of corporate and commercial law experience. He serves as General Counsel and Company Secretary of Brightoil Petroleum (Holdings) Limited and has previously held senior or board positions at multiple Hong Kong-listed companies, including GP NanoTechnology, China Eco-Farming, China Clean Energy Technology, Easy One Financial Group, Shin Hwa World and Longhui International Holdings. Chiang has accepted a three-year initial term with an annual director’s fee of HK$0.12 million and is subject to retirement by rotation and re-election at the next AGM. He meets all independence criteria under Listing Rule 3.13. The company noted a 2013 public censure by the Securities and Futures Commission related to Chiang’s tenure as an INED of Longhui International Holdings.
Existing INED Lau Fai Lawrence has been appointed to the Nomination and Remuneration Committees, filling the vacancies left by Duan.
Following the changes, the board comprises Executive Directors Zhu Xinxin and Di Ling, and INEDs Meng Zhijun, Lau Fai Lawrence and Stephen Chiang.
