On October 6, Snowflake fell 3.24% in pre-market trading to $330.7 per share, with turnover of $2.46 million. The decline was driven by market concerns over potential dilution following the recently completed $3.75 billion private placement of zero-coupon convertible senior notes.

According to disclosures, Snowflake issued $2 billion of 2029 notes and $1.75 billion of 2031 notes, with proceeds partly earmarked for capped call transactions and share repurchases. However, investors continued to price in equity expansion expectations, and the stock had already dropped over 3% in pre-market trading when the offering was first announced. Frequent insider selling disclosures recently have compounded short-term sentiment pressure.
