Henderson Land Maintains Share Capital in September; Convertible Bond Adjustment Lifts Potential Dilution to 4.9%

Henderson Land Development Company Limited (Henderson Land) reported no change in its issued share capital for September 2026. The company closed the month with 4.84 billion ordinary shares in issue and no treasury shares, identical to the August closing balance. Management further confirmed compliance with the Hong Kong Stock Exchange’s 25% minimum public-float requirement.

A key update during the month was the adjustment to the HKD 8.00 billion 0.5% Guaranteed Convertible Bonds due 2030. Triggered by the HKD 0.50 interim dividend paid for 1H 2026, the conversion price was reduced to HKD 33.91 from HKD 34.53 effective 9 September 2026. As a result, the maximum number of shares that could be issued upon full conversion increased by 4.24 million to 235.92 million shares—equivalent to a potential dilution of roughly 4.9% of the current share base.

No share options, warrants, treasury share movements, or other equity-linked instruments were reported for the month. The board affirmed that all regulatory and listing rule obligations related to securities issuance remain fulfilled.
