Imperium Technology Group Limited (Imperium Technology Group) has named Mr. Luk Man Lung, aged 51, as an Independent Non-Executive Director (INED) effective 1 September 2026.

Mr. Luk brings more than 27 years of engineering-surveying experience and currently serves as director of WISE Engineering & Surveying Co., Ltd. His academic and professional credentials include a Bachelor of Science in Surveying and Geo-Informatics (Hong Kong Polytechnic University, 1999) and an Honorary Doctorate of Engineering (Lincoln University, UK, 2018). He holds memberships or fellowships in multiple professional bodies, notably the Hong Kong Institution of Engineering Surveyors and the Hong Kong Institute of Directors.

The Company has entered into a three-year appointment letter with Mr. Luk, carrying a remuneration of HK$30,000 per quarter. The agreement can be terminated with not less than one month’s written notice by either party, and Mr. Luk will be subject to retirement by rotation and re-election at annual general meetings. He has confirmed compliance with all independence criteria under Rule 3.13 of the Hong Kong Listing Rules and holds no interests in the Group’s securities.

Concurrent with his board appointment, Mr. Luk will assume the roles of: • Chairman, Remuneration Committee • Member, Audit Committee • Member, Nomination Committee

Regulatory impact: Mr. Luk’s accession enables Imperium Technology Group to re-establish full compliance with the Hong Kong Listing Rules, specifically: 1. Rule 3.10(1) – minimum of three INEDs on the Board; 2. Rule 3.21 – Audit Committee comprising at least three members; 3. Rule 3.25 – Remuneration Committee chaired by an INED; 4. Rule 3.27A – Nomination Committee with a majority of INEDs.

The Board welcomed Mr. Luk and noted that his appointment remedies the governance gaps that arose following an INED resignation announced on 3 July 2026.
