Hong Kong-listed Wanguo Gold Group Limited has entered into two discretionary portfolio mandates under UBS AG’s “UBS Manage Premium” programme, deploying a total of USD 140.00 million for short-term treasury management.
On 24 September 2026, the company placed USD 30.00 million into the Global Floating Rate (USD) Mandate (“GFR Mandate”). A follow-up subscription of USD 60.00 million on 5 October 2026 lifted the mandate’s aggregate size to USD 90.00 million. Separately, on 5 October 2026, Wanguo Gold committed USD 50.00 million to the Developed Market Investment Grade (USD) Mandate (“DMIG Mandate”).
Key mandate parameters • Product structure: Discretionary, single-bond portfolios investing exclusively in investment-grade securities. • GFR Mandate: Targets capital preservation and yield enhancement over the FTSE USD Euro Deposits 3M Index through 40–50 globally diversified floating-rate notes with ultra-short duration. • DMIG Mandate: Aims for sustainable total returns versus a blended 50% Bloomberg US Intermediate Corporate / 50% Bloomberg US Intermediate Aggregate benchmark, holding 40–50 hard-currency investment-grade bonds from developed-market issuers; portfolio duration stays within +1/–2 years of the benchmark. • Term & liquidity: Open-ended with no lock-up; full redemption available on any business day, cash settlement expected within T+4, and no redemption fees.
Funding source and rationale The subscriptions utilise part of the HKD 5.44 billion net proceeds raised in August 2026 from Wanguo Gold’s 0.75% convertible-bond issuance due 2027. As significant portions of these proceeds will remain unused in the short term pending overseas gold-asset acquisitions, the Board opted for low-to-medium-risk instruments that offer yields above prevailing USD cash rates while preserving capital and maintaining high liquidity.
Regulatory classification Because the applicable percentage ratios under Chapter 14 of the Hong Kong Listing Rules exceed 5% but are below 25%, the UBS subscriptions constitute a discloseable transaction, triggering public announcement requirements but not shareholder approval.
Liquidity position Given the mandates’ daily redemption feature and four-business-day settlement cycle, the Board considers the invested funds readily available to meet near-term financing needs without incurring penalties.
The company will continue to monitor the investments in line with its treasury policy and reiterates that there is no change to the intended use or timeline for deploying the convertible-bond proceeds toward strategic acquisitions of overseas gold mining assets.
