Hygeia Healthcare Repurchases 198,200 Shares, Treasury Stock Rises to 13.25 Million

Hygeia Healthcare Holdings Co., Limited (Hygeia Healthcare) disclosed that it repurchased 198,200 ordinary shares on 2 September 2026 via on-market transactions. The shares were bought at prices ranging from HKD 10.22 to HKD 10.25, generating a volume-weighted average repurchase price of HKD 10.2454 and a total cash outlay of HKD 2.03 million.

Following the transaction, the company’s issued share capital (excluding treasury shares) fell to 605.25 million shares from 605.45 million, while treasury shares increased to 13.25 million. Total issued shares remained unchanged at 618.50 million.

The repurchase forms part of the mandate granted by shareholders on 26 June 2026, which authorises the company to buy back up to 60.77 million shares. Cumulative purchases under this mandate now stand at 2.49 million shares, representing 0.41% of the issued share base at the mandate date.

All shares acquired on 2 September are being retained as treasury shares; no cancellations have been executed. In line with Hong Kong Stock Exchange requirements, Hygeia Healthcare is subject to a moratorium on new share issues or treasury share disposals until 2 October 2026.

The board affirmed that the repurchase complied with all applicable listing rules, legal provisions and internal authorisations, and confirmed full settlement of consideration for the shares acquired.
