GRCB Secures Regulatory Approval for Amended Articles; Board of Supervisors Dissolved

Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) has received formal approval from the Guangdong Bureau of the National Financial Regulatory Administration for its revised Articles of Association, marking a significant overhaul of the bank’s governance structure.

The regulator’s reply (Yue Jin Fu [2026] No. 376), dated 24 September 2026, endorses amendments previously ratified by shareholders at the 2025 annual general meeting and two class meetings held on 29 May 2026. With immediate effect from the approval date, the 2026 revisions to the Articles of Association, the Rules of Procedures for the General Meetings, and the Rules of Procedures for the Board of Directors have all come into force.

Key Governance Changes • Disbandment of the Board of Supervisors: The amended Articles eliminate the Board of Supervisors and its special committees. All incumbent supervisors have ceased to hold office and have confirmed the absence of any disagreements with the Board or issues requiring shareholder or regulatory attention. • Streamlined Oversight Framework: Corporate governance provisions related to the Board of Supervisors are no longer effective, indicating a shift toward a simplified supervisory architecture under the revised Articles.

Board Composition Post-Amendment As of 29 September 2026, GRCB’s Board of Directors comprises: – Executive Directors: Cai Jian (Chairman), Deng Xiaoyun, Tan Bo – Non-executive Directors: Ni Kai, Wang Xiaobin, Zuo Liang, Zhang Yan, Xing Qiuyu, Hu Geyou, Feng Yaoliang – Independent Non-executive Directors: Liao Wenyi, Du Jinmin, Zhu Guilong, Zhang Hua, Ma Hok Ming
