Radiance Global Group Holdings Limited has postponed the dispatch of its shareholder circular relating to the connected transaction for the subscription of new shares under a specific mandate.
The circular, originally scheduled for release on or before 29 September 2026, will now be issued on or before 23 October 2026. Management cited the need for additional time to finalise information to be included in the document.
The forthcoming circular will contain detailed terms of the subscription agreements, the Independent Board Committee’s recommendations, the Independent Financial Adviser’s opinion and the notice convening the extraordinary general meeting.
Radiance Global’s board remains led by Chairman and Executive Director Liu Huanjin. The company reaffirmed that the announcement’s content is accurate and complete and that it complies with GEM Listing Rules disclosure requirements.
The announcement reiterates that the subscription shares have not been registered under the U.S. Securities Act of 1933 and are not being offered in the United States. The document will be available on HKEX’s “Latest Company Announcements” page for at least seven days and on the company’s website.
