TOP FORM INT'L Independent Shareholders Give 100% Approval to 7th Renewal Agreement with Van de Velde

TOP FORM INT'L (Top Form International Ltd.) confirmed that its independent shareholders have unanimously approved the Seventh Renewal Agreement governing continuing connected transactions with long-time partner Van de Velde N.V.

At the Special General Meeting held on 4 June 2026, the sole ordinary resolution—to endorse the Seventh Renewal Agreement and the corresponding annual sales caps for each of the three financial years ending 30 June 2029—received 88.32 million votes in favour, representing 100% of votes cast. No votes were recorded against the resolution.

Total shares in issue stood at 301.05 million. Connected parties—Mr. Herman Van de Velde, Ms. Lien Van de Velde, Van de Velde N.V. and their associates—collectively holding 77.26 million shares, abstained from voting in accordance with Listing Rules. Consequently, 223.79 million shares (approximately 74.34% of issued capital) were eligible to vote, and 39.46% of those shares were actually cast.

With more than 50% of votes cast in favour, the resolution passed as an ordinary resolution. Tricor Investor Services Limited acted as scrutineer for the poll. All board members attended the meeting either in person or via electronic means.

The approval secures continuity for sales transactions between TOP FORM INT'L and Van de Velde through to FY2029, under the newly sanctioned annual caps.
