Top Form Int’l Maintains Stable Share Capital in April 2026; Confirms Public Float Compliance

Top Form International Limited (Top Form Int’l) filed its monthly return for the period ended 30 April 2026, indicating no changes in either authorised or issued share capital.

The authorised share capital remained at HKD 300.00 million, comprising 600.00 million ordinary shares with a par value of HKD 0.50 each.

Issued share capital was unchanged at 301.05 million ordinary shares, and the company continued to hold zero treasury shares. Consequently, total issued shares also stayed at 301.05 million.

Top Form Int’l confirmed that its public float met the Main Board’s minimum 25 % requirement as of month-end.

Share-based incentive plans showed no exercises during April. The 2011 Share Option Scheme had 8.60 million options outstanding with none exercised, while the 2021 scheme had no outstanding options but an available grant limit of 30.11 million shares. No funds were raised from option exercises.

The company reported no warrants, convertible securities, or other share-issuing agreements, and no other movements in issued or treasury shares during the month.

The monthly return was submitted on 4 May 2026 by Company Secretary Yim Wing Sze.
