DT Capital shareholders unanimously approve all resolutions at 2026 AGM

DT Capital Limited held its Annual General Meeting (AGM) on 29 May 2026, during which all six ordinary resolutions were passed by poll with 100% support—1.01 billion votes cast in favour and none against for each item.

The poll, supervised by Tricor Investor Services Limited, covered:

1) adoption of the audited consolidated financial statements and Directors’ and auditors’ reports for the year ended 31 December 2025; 2) re-election of Executive Directors Leong Chi Wai and Su Chunxiang, Independent Non-executive Director Chan Chun Kong, and authorisation for the Board to set Directors’ remuneration; 3) re-appointment of WM CPA Limited as external auditor with Board-determined fees; 4) a general mandate for the Board to issue, allot or otherwise deal with shares (including any treasury shares); 5) a general mandate to repurchase shares; and 6) extension of the share-issuance mandate by the amount of shares repurchased.

Share capital and participation • Issued share capital at the AGM date: 2.74 billion shares, all with voting rights. • Shares voted: 1.01 billion, representing 36.93% of the issued share base. • No treasury, repurchased or restricted shares were outstanding; consequently, no voting rights were excluded. • No shareholder was required to abstain, and no party signalled an intention to vote against any resolution.

Board attendance All Directors attended the AGM; four attended in person and two via electronic means.

With these approvals, DT Capital’s Board retains full authority for routine corporate actions, including capital management and auditor engagement, for the coming year.
