AIA Holds Issued Shares Steady at 10.35 Billion in September; Public Float Remains Compliant

AIA Group Limited (stock code: 01299) reported no change in its share capital for the month ended 30 September 2026, according to its latest Hong Kong Stock Exchange monthly return filed on 6 October 2026.

The total number of issued ordinary shares (excluding treasury shares) closed the month unchanged at 10.35 billion, with no treasury shares held. Consequently, the company’s aggregate issued share count also remained at 10.35 billion. AIA reconfirmed compliance with the Hong Kong Main Board’s minimum public-float requirement of 25%, ensuring adequate market liquidity.

Share-based incentive plans recorded routine activity but generated no new share issuances and no treasury share transfers:

• 2010 Share Option Scheme: 9.42 million options outstanding; no grants, exercises, cancellations or lapses during the month. The scheme, terminated for new grants in May 2020, still permits exercise of existing options covering 9.42 million shares.

• 2020 Share Option Scheme: 13.73 million options outstanding with no movements. A further 5.44 million shares remain available for future grants, and the scheme’s total headroom stands at 262.09 million shares.

• Restricted Share Unit Scheme (adopted August 2020): Outstanding units increased marginally to 46.15 million after 227,622 grants and net reductions of 141,026 units from adjustments and lapses. No units vested during the month.

• Employee Share Purchase Plan: Outstanding balance rose to 5.68 million units, reflecting 168,466 new grants offset by 43% fewer lapses and adjustments.

• Agency Share Purchase Plan: Outstanding units advanced to 3.48 million following 127,812 grants, partly offset by 22,201 lapses.

No warrants, convertibles, or other equity-related instruments were issued or outstanding, and the company raised no proceeds from option exercises in September.

The absence of share issuances and treasury movements underscores AIA’s stable capital structure during the period while maintaining flexibility through sizable unexercised option and share-based award pools.
