3SBio Cuts Outstanding Shares by 10.20 Million in September amid HK$160.96 Million Buy-back, Confirms Public Float Compliance

3SBio Inc. (3SBio) has released its monthly return for the period ended 30 September 2026, detailing share capital movements and confirming ongoing compliance with Hong Kong Stock Exchange public-float requirements.

Authorised Capital Stable • The company’s authorised share capital remained unchanged at 50.00 billion ordinary shares with a par value of USD 0.00001 each, equivalent to USD 0.50 million.

Share Capital Movements • Issued shares (excluding treasury) fell by 10.20 million to 2.52 billion during September. • Treasury shares increased by 10.26 million to 18.78 million, keeping the total number of issued shares broadly flat at 2.54 billion.

Share Repurchases Drive Net Reduction • Eight on-market repurchase transactions, approved on 25 June 2026, resulted in 10.26 million shares being bought back and held in treasury. • Repurchase prices ranged from HK$15.16 to HK$15.84 per share, with an aggregate consideration of approximately HK$160.96 million.

Equity Issuance from Option Exercise • 56,666 new shares were issued on exercise of options granted under the 2015 Share Option Scheme (exercise price: HK$7.62). • Gross proceeds from option exercises totaled HK$0.43 million.

Public Float Adequacy • Despite the reduction in free-floating shares, 3SBio confirmed that it continued to meet the Main Board’s minimum 25 % public-float requirement as of 30 September 2026.
