Bank of Guizhou Announces Non-Executive Director Change: Cai Jia Resigns, Rao Dun Nominated

Bank of Guizhou Co., Ltd. disclosed that proposed non-executive director Cai Jia resigned on 29 September 2026 due to work arrangements. Cai confirmed no disagreement with the Board and no matters requiring shareholder attention.

The Board has nominated Rao Dun as a non-executive director for the fourth session of the Board. The Nomination and Remuneration Committee confirmed that Rao meets all regulatory and constitutional eligibility requirements. His appointment will become effective after shareholder approval and the National Administration of Financial Regulation Guizhou Office’s qualification clearance, and will run until the current Board’s term expires. Rao will receive no remuneration from the Bank during his tenure.

Rao, born July 1987, brings 17 years of banking and corporate finance experience. Career highlights: • 2009–2016: Bank of Communications, Guizhou Provincial Branch—roles included Sub-branch President and Corporate Business Manager. • 2016–present: Guizhou Provincial Water Conservancy Investment (Group) Co., Ltd.—progressed from Financing Supervisor to General Counsel; concurrently serves as Party Branch Secretary and Chairman of Guizhou Water Investment Capital Management Co., Ltd.

Academic and professional credentials: Master’s degree in Economic Law from Guizhou University (2015), intermediate economist title, and legal professional qualification. Rao has not held directorships in other listed companies during the past three years, has no related-party links to existing directors or major shareholders, and holds no shares in the Bank.

A circular containing full details of the proposed appointment and notice of the forthcoming shareholders’ meeting will be published on the websites of Hong Kong Exchanges and Clearing and Bank of Guizhou. Hard copies will be dispatched upon request.

As at 30 September 2026, the Board comprises three executive directors, three non-executive directors, and five independent non-executive directors. The Bank is not an authorized institution under the Hong Kong Banking Ordinance and is not supervised by the Hong Kong Monetary Authority.
