Distribution Solutions Group (DSGR) said an affiliate controlled by LKCM Headwater Investments priced an upsized offering of $800 million of 10% senior notes due 2032 to help finance LKCM Headwater's planned buyout of the company.
The offering, increased from the $700 million previously announced, is expected to close Oct. 15, Distribution Solutions said Wednesday in a statement.
LKCM Headwater affiliates plan to acquire all Distribution Solutions shares they don't already own for $35 a share in cash. The note proceeds, along with an equity contribution from LKCM Headwater, will fund the acquisition, repay part of Distribution Solutions' existing debt, and cover fees and general corporate purposes, according to the statement.
